1. Agreement to Terms
Welcome to TechSlayers ("Company," "we," "us," or "our"). These Terms of Service ("Terms," "Agreement") govern your access to and use of our website www.techslayers.ca and our cybersecurity products and services, including Senthrex, CIVA, and our Private Eco-System (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to all the terms and conditions of this Agreement, you may not access or use the Services. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
Important: Please read these Terms carefully before using our Services. These Terms contain important information about your legal rights, remedies, and obligations, including mandatory arbitration and class action waiver provisions.
2. Definitions
For purposes of this Agreement:
- •"Account" means a unique account created for you to access our Services.
- •"Content" means text, images, videos, software, data, or other materials.
- •"Free Tier" refers to our basic services available at no cost with limited features.
- •"Enterprise Services" refers to our paid, premium cybersecurity solutions for businesses.
- •"User Content" means any Content you submit, upload, or transmit through our Services.
- •"You" or "User" means the individual or legal entity accessing our Services.
3. Eligibility & Account Registration
3.1 Eligibility Requirements
You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that:
- •You are at least 18 years of age
- •You have the legal capacity to enter into this Agreement
- •You are not prohibited from using our Services under applicable law
- •You will comply with these Terms and all applicable laws
3.2 Account Registration
To access certain features of our Services, you must create an Account. When creating an Account, you agree to:
- •Provide accurate, current, and complete information
- •Maintain and promptly update your Account information
- •Not create more than one Account without our permission
- •Not use another person's Account without permission
3.3 Account Security
You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You agree to:
- •Use a strong, unique password
- •Enable multi-factor authentication (MFA) when available
- •Immediately notify us of any unauthorized use of your Account
- •Not share your credentials with third parties
We are not liable for any loss or damage arising from your failure to protect your Account credentials.
3.4 Account Termination
You may delete your Account at any time by contacting us at support@techslayers.com. We reserve the right to suspend or terminate your Account if you violate these Terms.
4. Acceptable Use Policy
4.1 Permitted Uses
You may use our Services only for lawful purposes and in accordance with these Terms. Permitted uses include:
- •Protecting your organization's digital assets and infrastructure
- •Conducting authorized security assessments and threat detection
- •Accessing educational resources and security insights
- •Using our Services in compliance with all applicable laws and regulations
4.2 Prohibited Activities
You agree NOT to use our Services to:
- •Violate any applicable law, regulation, or third-party rights
- •Engage in unauthorized access, hacking, or attacks on systems you do not own or have permission to test
- •Distribute malware, viruses, or malicious code
- •Conduct phishing, spamming, or social engineering attacks
- •Harvest user data without consent
- •Circumvent, disable, or interfere with security features
- •Reverse engineer, decompile, or disassemble our Services
- •Resell, sublicense, or redistribute our Services without authorization
4.3 Compliance
You are solely responsible for ensuring your use of our Services complies with all applicable laws, including but not limited to cybersecurity laws, data protection regulations, and export controls. Violation of this Acceptable Use Policy may result in immediate suspension or termination of your Account.
5. Intellectual Property Rights
5.1 TechSlayers Intellectual Property
The Services, including all software, algorithms, interfaces, text, graphics, logos, trademarks, and other materials, are owned by or licensed to TechSlayers and are protected by intellectual property laws. Our products—Senthrex, CIVA, and Private Eco-System—contain proprietary technology and trade secrets.
5.2 User Content
You retain ownership of any User Content you submit through our Services. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, store, and display such content solely to provide and improve our Services.
5.3 License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business purposes.
5.4 Feedback
If you provide us with suggestions, ideas, or feedback about our Services, you agree that we may use such feedback without restriction or compensation to you.
5.5 Confidentiality
During your use of the Services, you may receive non-public information, including security findings, reports, and platform output ("Confidential Information"). You agree to protect Confidential Information and use it only as needed to access and use the Services.
Confidential Information does not include information that becomes publicly available through no fault of yours, or that you independently develop without using Confidential Information. You may disclose Confidential Information if required by law, provided you give us prompt notice (where permitted) and reasonably cooperate with our efforts to limit disclosure.
Enterprise Agreements: If you have a separate enterprise agreement with us, its confidentiality and data terms control to the extent they conflict with these Terms.
6. Privacy & Data Protection
Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our data practices as described in the Privacy Policy.
As a cybersecurity company, we use reasonable administrative, technical, and organizational safeguards to protect personal information and Service data. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.
7. Payment Terms
7.1 Free Tier
We offer a Free Tier with limited features at no cost. Free Tier services are provided "as is" and may be modified, limited, or discontinued at any time without notice.
7.2 Paid Services
For Enterprise Services and premium features, you agree to pay all applicable fees as described on our pricing page or in your service agreement. Fees are exclusive of taxes unless otherwise stated.
7.3 Billing
Paid subscriptions are billed in advance on a monthly or annual basis depending on your selected plan. Payment is due upon invoice. We accept major credit cards and bank transfers for enterprise accounts.
7.4 Refunds
All fees are non-refundable unless otherwise specified in your service agreement or required by law. If you believe you have been charged in error, please contact billing@techslayers.com within 30 days.
7.5 Price Changes
We reserve the right to change our pricing at any time. For existing subscriptions, we will provide at least 30 days' notice before any price increase takes effect.
8. Service Level & Availability
8.1 Uptime Commitment
For Enterprise customers, we commit to 99.9% uptime for our core Services, excluding scheduled maintenance and force majeure events. Service Level Agreements (SLAs) with specific uptime guarantees and remedies are available for Enterprise plans.
8.2 Maintenance
We may perform scheduled maintenance that temporarily affects service availability. We will provide advance notice for planned maintenance when possible. Emergency maintenance may be performed without notice to address security or stability issues.
8.3 Support
Support levels vary by plan. Free Tier users have access to community support and documentation. Enterprise customers receive priority support with dedicated response times as specified in their service agreement.
9. Warranties & Disclaimers
9.1 Limited Warranty
To the extent permitted by law, we warrant that paid Services will perform materially in accordance with our documentation when used as intended. If the Services do not meet this warranty, we will use commercially reasonable efforts to correct the issue. If we cannot, we may provide a credit or refund, as applicable and consistent with any enterprise agreement.
9.2 Disclaimer
Except as expressly provided in these Terms (or a separate enterprise agreement), the Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Services will be uninterrupted, error-free, or completely secure. While we implement security measures, no cybersecurity solution can guarantee complete protection against all threats.
10. Limitation of Liability
10.1 Limitation of Damages
To the maximum extent permitted by law, in no event shall TechSlayers be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or loss of business opportunities.
10.2 Total Liability
Our total cumulative liability for all claims arising out of or related to these Terms or the Services will not exceed the amounts paid by you to us during the twelve (12) months preceding the claim, or one hundred dollars ($100) if no fees were paid.
10.3 Exceptions
The limitations above do not apply to:
- •Death or personal injury caused by our negligence
- •Fraud or fraudulent misrepresentation
- •Any liability that cannot be excluded or limited by law
11. Term & Termination
11.1 Term
These Terms are effective upon your first access to our Services and continue until terminated. Paid subscriptions continue for the subscription period unless terminated earlier.
11.2 Termination by You
You may terminate your Account at any time by contacting us. For paid subscriptions, termination will be effective at the end of your current billing period.
11.3 Termination by Us
We may suspend or terminate your access immediately if you breach these Terms, engage in prohibited activities, or fail to pay applicable fees. We may also terminate with 30 days' notice for any reason.
11.4 Effect of Termination
Upon termination:
- •Your license to use the Services ends
- •You must cease all use of our Services
- •We may delete your Account and User Content after a reasonable retention period
- •Any outstanding fees become immediately due
11.5 Survival
Sections relating to intellectual property, confidentiality, limitation of liability, dispute resolution, and general provisions survive termination.
12. Dispute Resolution
12.1 Informal Resolution
Before filing a formal dispute, you agree to first contact us at legal@techslayers.com to attempt to resolve the dispute informally. We will make good faith efforts to resolve any dispute within 60 days.
12.2 Arbitration Agreement
If informal resolution fails, any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration, except where prohibited by law. The arbitration will be administered by a mutually agreed arbitration provider under its applicable rules and may be conducted remotely unless the parties agree otherwise.
12.3 Class Action Waiver
You and TechSlayers agree that disputes will be resolved on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in class actions against us.
12.4 Exceptions
Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction for intellectual property infringement or confidentiality breaches. Small claims court actions are also permitted.
13. Modifications to Terms
13.1 Right to Modify
We reserve the right to modify these Terms at any time. Changes will be effective when posted on our website.
13.2 Notice of Changes
For material changes, we will provide notice via email or prominent website notice at least 30 days before the changes take effect. The "Last Updated" date at the top of these Terms indicates when changes were last made.
13.3 Acceptance of Changes
Your continued use of our Services after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using our Services before the changes take effect.
14. General Provisions
14.1 Governing Law
These Terms are governed by the laws of the jurisdiction in which TechSlayers is established, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
14.2 Severability
If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will continue in full force.
14.3 Entire Agreement
These Terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between you and TechSlayers regarding the Services.
14.4 Assignment
You may not assign these Terms without our written consent. We may assign these Terms to any successor in interest or affiliate.
14.5 Force Majeure
Neither party is liable for delays or failures caused by circumstances beyond reasonable control, including natural disasters, war, terrorism, cyberattacks, or government actions.
14.6 Waiver
Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
14.7 Notices
Notices to us must be sent to legal@techslayers.com. We may provide notices to you via email or by posting on our website.
14.8 Export Compliance
You agree to comply with all applicable export laws and regulations. You represent that you are not located in an embargoed country or on any U.S. government restricted party list.

BY USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE. IF YOU ARE ENTERING INTO THESE TERMS ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY.
